§1. General Provisions

  1. These Terms and Conditions set out the rules for using the online store operated at https://shop.steel-containers.com/, in particular the rules for placing orders, concluding sales contracts, making payments, fulfilling deliveries, submitting complaints, and exercising the right of withdrawal from the contract.
  2. The Store conducts sales to entrepreneurs (B2B) as well as to consumers (B2C), with B2B sales constituting the predominant business model.
  3. The Terms and Conditions are made available free of charge on the Store’s website in a manner that enables their acquisition, reproduction, and storage.
  4. Placing an order in the Store is equivalent to acceptance of these Terms and Conditions.

§3. Definitions

For the purposes of these Terms and Conditions, the following definitions shall apply:

  1. Store – the online store available at shop.steel-containers.com.
  2. Seller – WIM Michał Olejarz.
  3. Customer – a natural person, a legal person, or an organizational unit placing an order in the Store.
  4. Consumer – a natural person making a purchase that is not directly related to their business or professional activity.
  5. Entrepreneur – a Customer making a purchase in connection with their business or professional activity.
  6. Goods – a product offered in the Store.
  7. Sales Contract – a contract concluded between the Seller and the Customer at a distance.
  8. EU Member State – a Member State of the European Union.
  9. Third Country – a country outside the European Union.

§4. Customers and Sales Territory

  1. The Store carries out sales and deliveries:
    • within the territory of Poland,
    • within the territory of other Member States of the European Union,
    • to third countries – subject to individual arrangements.
  2. The Seller reserves the right to refuse to process orders to selected countries or regions, in particular for logistical, legal, or security reasons.

§5. Prices, Taxes and Costs

  1. All prices presented in the Store are net prices.
  2. VAT is charged in accordance with the applicable legal regulations, depending on:
    • the Customer’s status (Entrepreneur / Consumer),
    • the country of delivery.
  3. VAT charging rules:
    1. Customers from Poland:
      • Consumer – VAT charged at the rate applicable in Poland,
      • Entrepreneur – VAT charged at the rate applicable in Poland.
    2. Customers from other EU Member States:
      • Entrepreneur holding a valid EU VAT number – net sale under the reverse charge mechanism,
      • Consumer – VAT added during the order placement process, in accordance with applicable regulations.
    3. Customers from third countries:
      • sales are generally carried out at a 0% VAT rate on the Seller’s side,
      • any customs duties, import taxes, and local charges are borne by the Customer.
  4. The Consumer is informed, prior to placing each order, of the full gross price, including VAT and delivery costs.
  5. Delivery costs are not included in the price of the Goods and are indicated separately.
  6. In the case of deliveries to third countries, the transport cost is determined individually.

§6. Nature of the Offer and Goods

  1. The Store offers Goods of a technical and industrial nature.
  2. Some of the Goods may be:
    • manufactured to order,
    • modified according to the Customer’s individual specification.
    • produced in short series.
  3. Product images and descriptions are for illustrative purposes only and may slightly differ from the actual condition of the Goods.

§7. Placing Orders and Conclusion of the Contract

  1. Orders may be placed via the Store 24 hours a day.
  2. An order is placed by:
    • adding the Goods to the shopping cart,
    • completing the order form,
    • acceptance of the Terms and Conditions,
    • confirming the order.
  3. The Sales Contract is concluded at the moment the order confirmation is sent to the Customer by email.
  4. The Seller reserves the right to refuse to process an order in the event of unavailability of the Goods, incorrect data, or other justified reasons.

§8. Payments

  1. The available payment methods are indicated in the Store.
  2. The Seller may require advance payment or a deposit, in particular in the case of B2B orders or Goods manufactured to order.
  3. Failure to make payment within the specified time may result in cancellation of the order.

§9. Invoices

  1. An electronic VAT invoice is issued for each order.
  2. The invoice is issued based on the details provided by the Customer in the order form.
  3. The Customer consents to receiving invoices electronically without a signature.

§10. Delivery and Transport

  1. Deliveries are carried out via courier companies, freight forwarding companies, or the Seller’s own transport.
  2. Deliveries are carried out on business days.
  3. The Customer is obliged to inspect the shipment at the time of delivery.
  4. Liability for damage incurred during transport is borne by the carrier, in accordance with the applicable regulations.

§11. Unloading

  1. In the case of Goods of large dimensions, the Customer is obliged to ensure the possibility of safe unloading.
  2. The Seller shall not be liable for the inability to unload due to reasons attributable to the Customer.

§12. Right of Withdrawal from the Contract (applies exclusively to Consumers)

  1. The Consumer has the right to withdraw from the contract within 14 days from the date of receipt of the Goods.
  2. The right of withdrawal does not apply to Entrepreneurs.
  3. The right of withdrawal does not apply in the case of Goods manufactured to order or made according to the Customer’s individual specification.
  4. The costs of returning the Goods are borne by the Consumer.

§13. Complaints

  1. Complaints should be submitted by email to sales@steel-containers.com.
  2. A complaint should include the Customer’s details, the order number, and a description of the reported non-conformity.
  3. Complaints are processed within a period of up to 14 days.

§14. Liability

  1. The Seller’s liability towards Entrepreneurs is limited to damages arising from willful misconduct or gross negligence.
  2. Towards Consumers, the Seller shall be liable in accordance with the applicable provisions of law.

§15. Force Majeure

  1. The Seller shall not be liable for delays or non-performance of the contract caused by events beyond its control, in particular natural disasters, interruptions in the supply of raw materials, or transport disruptions.

§16. Personal Data Protection

  1. Customers’ personal data are processed in accordance with the GDPR (EU Regulation 2016/679).
  2. Detailed rules for the processing of personal data are set out in the Privacy Policy available on the Store’s website.

§17. Out-of-Court Dispute Resolution

  1. The Consumer may use the ODR platform available at the following address:
    https://ec.europa.eu/consumers/odr
  2. The Seller is not obliged to participate in mediation proceedings.

§18. Governing Law and Court

  1. Contracts concluded on the basis of these Terms and Conditions shall be governed by Polish law.
  2. With regard to Consumers, the application of Polish law shall not infringe the mandatory provisions of the law of the country of their habitual residence.
  3. In disputes with Entrepreneurs, the court having jurisdiction shall be the court competent for the Seller’s registered office.

§19. Final Provisions

  1. The Terms and Conditions enter into force on March 1, 2026.
  2. Amendments to the Terms and Conditions shall not affect the acquired rights of Customers.
